ThreadX Brand Partner Agreement

This Brand Partner Agreement (“Agreement”) is entered into between ThreadX (“Platform”, “ThreadX”, “we”, “our”) and the participating brand or business entity (“Brand”, “Partner”, “you”, “your”) upon registration and onboarding to the ThreadX platform. By registering, uploading products, or participating on the ThreadX platform, the Brand acknowledges and agrees to the following terms:
01 · Platform Purpose
ThreadX is an AI-powered virtual shopping and fit recommendation platform that allows shoppers to visualize apparel, footwear, accessories, and related products using AI-generated virtual try-on technology and fit intelligence tools.
02 · Founding Brand Program
Select early-stage participating brands may receive access to the ThreadX Founding Brand Program. Founding Brand benefits may include: • 30 days of free platform access • Featured placement eligibility • AI virtual try-on integration • Access to platform analytics • Early access features • Priority onboarding support The 30-day Founding Brand trial period does not waive affiliate commission obligations outlined in this Agreement. ThreadX reserves the right to approve, deny, or revoke Founding Brand participation at its discretion.
03 · Pricing & Subscription Tiers
Following the applicable free trial period, brands agree to the following monthly subscription pricing unless otherwise agreed in writing: Standard Brand Tier • $99 USD/month • Up to 100 active product listings • AI try-on integration • Standard platform visibility • Analytics access • Cross-brand outfit inclusion eligibility Premium Brand Tier • $299 USD/month • Priority placement eligibility • Enhanced analytics • Featured promotion opportunities • Expanded product limits • Marketing and campaign support ThreadX reserves the right to modify pricing with reasonable notice.
04 · Affiliate Commission
Brand agrees to pay ThreadX a 3% affiliate commission on all completed sales directly attributable to traffic, referrals, virtual try-ons, or conversions originating from the ThreadX platform. This 3% affiliate commission applies: • during free trial periods, • during Founding Brand participation, • during all paid subscription periods, • and for the duration of the Brand’s active participation on the platform. Commission payments may be collected through: • integrated ecommerce platform tracking, • affiliate links, • API integrations, • manual reporting, • or other approved transaction tracking methods. Brands agree to provide accurate reporting and cooperate reasonably with transaction verification if requested.
05 · Brand Content & Licensing
Brand retains ownership of its trademarks, product imagery, logos, and intellectual property. By uploading content to ThreadX, Brand grants ThreadX a non-exclusive, worldwide, royalty-free license to: • display products, • generate AI try-on imagery, • market platform functionality, • create promotional demonstrations, • and showcase products within the ThreadX ecosystem. Brand represents that it owns or has authorization to use all uploaded content.
06 · AI Generated Content
Brand acknowledges that ThreadX utilizes AI-generated imagery and virtual fitting technology which may produce variations in: • garment appearance, • lighting, • texture rendering, • fit visualization, • and generated imagery outputs. ThreadX does not guarantee perfect visual accuracy and generated try-on imagery is intended for visualization and shopping assistance purposes only.
07 · Acceptable Products
ThreadX reserves the right to reject, remove, or suspend products or brands that: • violate laws or regulations, • infringe intellectual property rights, • contain offensive or prohibited content, • or negatively impact platform integrity.
08 · Term & Termination
This Agreement remains active until terminated by either party. Brands may cancel participation at any time by providing written notice. ThreadX reserves the right to suspend or terminate accounts for: • violation of platform policies, • fraudulent activity, • abuse of services, • non-payment, • or conduct deemed harmful to the platform. Outstanding commissions or unpaid subscription balances remain payable after termination.
09 · Disclaimer of Warranties
ThreadX provides the platform “as is” without guarantees of: • sales volume, • conversion rates, • shopper engagement, • uninterrupted service, • or specific financial outcomes.
10 · Limitation of Liability
To the maximum extent permitted by law, ThreadX shall not be liable for: • indirect damages, • lost profits, • data loss, • business interruption, • or consequential damages arising from platform use.
11 · Modifications
ThreadX may update this Agreement periodically. Continued participation on the platform constitutes acceptance of updated terms.
12 · Governing Law
This Agreement shall be governed by the laws applicable in Ontario, Canada, unless otherwise required by applicable law.
By registering for or using the ThreadX platform, Brand acknowledges that it has read, understood, and agreed to this Agreement. ThreadX — AI-Powered Virtual Shopping & Fit Intelligence Platform
